IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE INSTALLING, DOWNLOADING, OR USING PROXLY SOFTWARE. BY INSTALLING, DOWNLOADING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL, DOWNLOAD, OR USE THE SOFTWARE.
1. DEFINITIONS
"Agreement" means this End User License Agreement, including any amendments or modifications.
"Chillaid Engineering" or "Licensor" or "We" means the sole proprietorship of Paweł Mazurkiewicz, located in Poland.
"License Key" means the unique alphanumeric code provided to authenticate and activate your licensed copy of the Software.
"Device Fingerprint" means a unique identifier calculated locally on your device from hardware characteristics, used for license validation and anti-piracy protection.
"Software" or "Proxly" means the Proxly browser-chooser application, including all components, documentation, and updates provided by Licensor.
"You" or "User" or "Licensee" means the individual or entity acquiring a license to use the Software.
2. GRANT OF LICENSE
2.1 License Grant
Subject to the terms and conditions of this Agreement and your payment of applicable license fees, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to:
Install and use the Software on a single computer or device
Use the Software for its intended purpose as a browser-chooser application
Receive updates and support as provided by Licensor
2.2 License Scope
This license is granted for:
Personal or commercial use as specified in your license type
Up to five (5) device activations per license key
Indefinite duration subject to compliance with this Agreement
2.3 License Key and Device Activation Requirements
You must use a valid License Key to activate and use the Software
Each License Key permits activation on up to five (5) separate devices
Each activated device will have its unique Device Fingerprint associated with your License Key
You may deactivate the Software on a device to free up an activation slot for use on another device
Sharing or distributing License Keys with other individuals or entities is strictly prohibited
All activations must be for your own use or within your organization (for commercial licenses)
3. LICENSE RESTRICTIONS
You may NOT:
3.1 Distribution and Copying
Distribute, sell, lease, rent, lend, or sublicense the Software
Copy the Software except for backup purposes
Make the Software available over a network where multiple users can access it
Remove or alter any copyright, trademark, or proprietary notices
3.2 Modification and Reverse Engineering
Modify, adapt, alter, translate, or create derivative works of the Software
Reverse engineer, decompile, disassemble, or attempt to derive source code
Bypass, disable, or circumvent any license validation or security features
Use the Software to create competing products or services
3.3 Unauthorized Use
Use the Software without a valid License Key
Share your License Key with unauthorized parties or other individuals/entities
Exceed the five (5) device activation limit per License Key
Install the Software on devices not properly activated with your License Key
Use the Software for any illegal or unauthorized purpose
Use activated installations for others outside your personal use or organization (for commercial licenses)
4. INTELLECTUAL PROPERTY RIGHTS
4.1 Ownership
The Software is licensed, not sold
Licensor retains all right, title, and interest in the Software
All intellectual property rights belong exclusively to Licensor
No rights are granted except as expressly stated in this Agreement
4.2 Trademarks
"Proxly" and related marks are trademarks of Chillaid Engineering
You may not use these trademarks without express written permission
5. DATA PROCESSING AND PRIVACY
5.1 Authorized Data Processing
By accepting this Agreement, you authorize Licensor to:
Process your License Key for license validation
Generate and process a Device Fingerprint for anti-piracy protection
Store this information as necessary for license compliance
Use this data solely for licensing and anti-piracy purposes
5.2 Privacy Policy Integration
Data processing is governed by our Privacy Policy
The Privacy Policy is incorporated by reference into this Agreement
You acknowledge reading and accepting the Privacy Policy terms
5.3 Minimal Data Collection
We collect only License Key and Device Fingerprint data
No personal information, browsing data, or other user data is collected
All data processing follows privacy-by-design principles
6. ANTI-PIRACY AND LICENSE VALIDATION
6.1 License Validation Mechanism
The Software includes license validation technology
Your License Key and Device Fingerprint are required for operation
License validation occurs during software startup and periodically during use
Internet connection may be required for license validation
6.2 Anti-Piracy Measures
The Software includes anti-piracy protection measures
Circumventing these measures violates this Agreement
We may terminate your license immediately for piracy attempts
Legal action may be pursued for license violations
6.3 Device Fingerprinting
A unique Device Fingerprint is calculated locally on each activated device
Up to five (5) different Device Fingerprints can be associated with your License Key
Each fingerprint contains only technical hardware information
No personal or private information is included in any fingerprint
Device Fingerprints are used solely for license validation and activation management
You may deactivate a device to remove its fingerprint and free an activation slot
7. DEVICE MANAGEMENT AND ACTIVATION
7.1 Activation Limits
Each License Key permits up to five (5) concurrent device activations
Activation count includes all devices where the Software is currently installed and activated
Devices that have been properly deactivated do not count toward the activation limit
7.2 Deactivation and Transfer
You may deactivate the Software on any device through the Software interface or by contacting support
Deactivation frees up an activation slot for use on another device
Hardware failure or device replacement may require support assistance for deactivation
We reserve the right to verify deactivation requests to prevent abuse
7.3 Activation Management
You are responsible for managing your device activations within the permitted limits
Exceeding the activation limit may result in license validation failures
We may provide tools or interfaces to help manage your activated devices
Contact support if you need assistance with activation management
8. UPDATES AND MODIFICATIONS
8.1 Software Updates
We may provide updates, patches, or new versions of the Software
Updates may be installed automatically or require manual installation
Continued use after updates indicates acceptance of modified terms
Some updates may require re-validation of your license on activated devices
8.2 Agreement Modifications
This Agreement may be modified with reasonable notice
Continued use after notification constitutes acceptance
Material changes will be prominently communicated
You may terminate if you disagree with modifications
9. TERM AND TERMINATION
9.1 Term
This Agreement is effective until terminated by either party.
9.2 Termination by You
You may terminate by:
Uninstalling the Software from all activated devices and discontinuing use
Requesting license cancellation through official channels
Note: Data deletion requests will result in license termination across all devices
9.3 Termination by Licensor
We may terminate immediately if you:
Violate any term of this Agreement
Engage in software piracy or license sharing
Attempt to circumvent anti-piracy measures or activation limits
Use the Software for illegal purposes
Request deletion of licensing data (as this prevents license validation)
Exceed activation limits through unauthorized means
9.4 Effects of Termination
Upon termination:
Your right to use the Software ceases immediately on all devices
You must uninstall and delete all copies of the Software from all activated devices
License validation will be disabled across all activations
This Agreement's obligations survive termination as applicable
10. WARRANTIES AND DISCLAIMERS
10.1 Limited Warranty
The Software is provided with a limited warranty for 30 days from purchase
We warrant the Software will perform substantially as described
This warranty applies only to properly licensed copies with valid activations
10.2 Warranty Disclaimers
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
IMPLIED WARRANTIES OF MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ERROR-FREE OR UNINTERRUPTED OPERATION
10.3 No Warranty for Unauthorized Copies
No warranties apply to unauthorized, pirated, or improperly licensed copies, or installations exceeding activation limits.
11. LIMITATION OF LIABILITY
11.1 Damages Limitation
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR:
INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
DAMAGES EXCEEDING THE AMOUNT PAID FOR THE SOFTWARE
11.2 Essential Purpose
The limited remedies provided are the exclusive remedies
If limited remedies fail their essential purpose, liability remains limited
These limitations apply even if Licensor was advised of possible damages
12. INDEMNIFICATION
You agree to indemnify and hold harmless Licensor from any claims arising from:
Your violation of this Agreement
Your unauthorized use of the Software or exceeding activation limits
Your violation of applicable laws or third-party rights
Your modification or misuse of the Software
13. GOVERNING LAW AND JURISDICTION
13.1 Governing Law
This Agreement is governed by the laws of Poland, without regard to conflict of law principles.
13.2 Jurisdiction
Any disputes will be resolved in the courts of Poland
You consent to the exclusive jurisdiction of Polish courts
EU residents retain rights under applicable consumer protection laws
13.3 Language
This Agreement is executed in English
In case of translation conflicts, the English version prevails
14. EXPORT RESTRICTIONS
You acknowledge that the Software may be subject to export restrictions
You will comply with all applicable export laws and regulations
You will not export or re-export the Software to prohibited countries or entities
15. GENERAL PROVISIONS
15.1 Entire Agreement
This Agreement constitutes the complete agreement between parties
It supersedes all prior negotiations, representations, or agreements
It may only be modified in writing signed by both parties
15.2 Severability
If any provision is found unenforceable, the remainder remains effective
Invalid provisions will be replaced with enforceable provisions of similar intent
15.3 Waiver
Failure to enforce any provision does not constitute waiver
Waivers must be in writing to be effective
15.4 Assignment
You may not assign this Agreement without written consent
Licensor may assign this Agreement with reasonable notice
15.5 Survival
The following provisions survive termination:

17. ACKNOWLEDGMENT
BY INSTALLING, DOWNLOADING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT:
You have read and understood this Agreement
You agree to be bound by its terms and conditions
You have the authority to enter into this Agreement
You understand the data processing and privacy implications
You accept the license validation and anti-piracy measures
You understand the five (5) device activation limit per License Key
